PTC Therapeutics, Inc. (Nasdaq: PTCT) develops and commercializes medicines for rare disorders. Its commercial portfolio includes Sephience, Translarna, Emflaza and gene-therapy products. Revenue also includes collaboration payments and royalties, which have different cash implications from product sales.
A new use for capital
On November 3, the board authorized up to $500 million of common-stock repurchases. Timing and amounts are at management's discretion, subject to market conditions.
Our comparison finds that the authorization equals 23.5% of September's $2.128 billion cash-and-securities pool. That pool comprises $508.9 million of cash and equivalents and $1.619 billion of marketable securities. It already reflects the completed $111 million ST-920 purchase.
The product business expands
Sephience sales rose to $181.9 million from Q2's $151.3 million. Translarna sales were $48.5 million versus $50.7 million a year earlier, and Emflaza sales were $25.1 million versus $35.2 million.
October's annual product-sales forecast is $960 million to $990 million, versus July's $850 million to $950 million. Total revenue guidance is $1.29 billion to $1.32 billion. Ordinary R&D and SG&A guidance remains $775 million to $815 million, or $680 million to $720 million excluding $95 million of stock compensation.
The separate $111 million acquired in-process R&D expense is outside that ordinary expense forecast. It reduced operating earnings when ST-920 was purchased. PTC's non-GAAP R&D and SG&A measures remove only stock compensation; they are not an adjusted measure of total company profit.
Completed purchase and milestone obligations
PTC was selected as the winning ST-920 bidder in August, signed the purchase agreement August 25 and closed September 17. It paid $111 million upfront for the development program. Additional payments of up to $100 million depend on U.S. regulatory approvals: $80 million for accelerated approval and $20 million for full approval, with both payable if full approval comes directly.
Separately, Sephience's cumulative four-quarter sales triggered $30 million and $50 million payments to former Censa securityholders. The $80 million was accrued at September 30 and capitalized as an intangible asset. Product growth therefore also creates contractual cash obligations.
Recognized royalties and actual cash
PTC previously received $2.1 billion from Royalty Pharma in exchange for all its sales-based royalty rights under the Roche spinal-muscular-atrophy collaboration. It continues to recognize royalty revenue, including $199.6 million in the first nine months, although that revenue is assigned to Royalty Pharma.
The related accounting liability was $2.306 billion at September. It declined by the $199.6 million of assigned royalties and increased by $196.9 million of noncash interest. This arrangement is distinct from conventional convertible-note principal.
Nine-month operating cash was $44.8 million, compared with $745.5 million a year earlier. The current period includes a $50 million Novartis milestone received in the first half and the $111 million ST-920 purchase. The prior period included a $1 billion upfront payment received when the Novartis collaboration closed in January 2025.
Comparing the six- and nine-month cash statements gives a Q3 operating outflow of $25.3 million, including the ST-920 payment. Management continues to target cash-flow breakeven in 2026.
Debt after refinancing
June's refinancing issued $550 million of zero-coupon convertible notes due June 15, 2031. September carrying debt was $536.3 million. Cash paid to repurchase, convert and finally settle the older 2026 notes totaled $415.5 million year to date.
