Perrigo's higher profit forecast covers a smaller business

The comparable Core earnings target fell. A higher headline range leaves out infant formula, which was included in the earlier outlook.

Perrigo lowered its annual adjusted earnings forecast for its Core business, which excludes infant formula and previously announced divestitures, to $2.15 to $2.35 a share from $2.25 to $2.55 in August. It also cut the corresponding gross-margin range to 37.5% to 38.5% from 39% to 40%. Management cited more cautious retail inventory plans ahead of the cough-and-cold season and continued weakness in Europe.

A separate headline range moved in the opposite direction. The new All In adjusted earnings forecast is $2.25 to $2.45 a share, compared with $2.00 to $2.30 previously. Research by Ticker Byline shows that August's range included infant formula, while the new one excludes it. Perrigo will classify that business as discontinued operations when it reports the fourth quarter and full year.

Use the Core forecast for the comparison

On that basis, the company now expects an operating margin of 14% to 15%, down from 15% to 16%. A lower tax-rate assumption of 14%, compared with 18% previously, helps earnings despite the weaker operating forecast.

For the quarter ended September 26, Core adjusted earnings were $0.61 a share, below $0.67 a year earlier. Under GAAP, the company reported a $14.3 million loss from continuing operations. Core earnings exclude specified costs as well as the businesses omitted from the comparison.

The formula deal is conditional cash

The infant-formula sale was announced on October 29, before the quarterly results. It provides for $40 million of upfront cash and up to $135 million of contingent payments tied to milestones through 2030. Closing is expected in the first half of 2027.

The exit still requires investment. Perrigo expects to fund about $21 million of capital spending on the business through March 2027, assuming the deal closes that month. The buyer would take responsibility for capital spending after closing.

Perrigo expects a $275 million to $375 million noncash impairment charge in the fourth quarter related to the exit. That expected charge is separate from cash proceeds and from the third-quarter result.

Cash flow provided a positive counterpoint: the company reported approximately $96 million of operating cash inflow in the quarter, which included about $28 million of tariff refunds received. Year-to-date operating cash flow was $65.2 million, against $45.6 million of capital spending and $120.3 million of dividends. At September 26, cash and cash equivalents were $436.6 million.
