Current transaction status

As of October 30, 2026, LCI's proposed all-stock merger with Patrick Industries remains pending. The agreement provides 1.2440 Patrick shares for each LCI share, with LCI holders expected to own about 48% of the combined company. The exchange ratio is fixed; its dollar value moves with Patrick's share price.

On October 30, LCI announced that its board had rejected Monomoy Capital Partners' unsolicited, non-binding proposal of $101 per share in cash. The decision was reached on October 29. The board continues to recommend the Patrick merger. Both companies' shareholder meetings are scheduled for November 18, with closing expected in the first half of 2027, subject to shareholder and regulatory approvals and other conditions.

The board cites an adviser-model standalone valuation range of $142 to $165 per LCI share and about $150 million of expected annual net cost savings from the merger, targeted within three years after closing. The valuation depends on future cash-flow assumptions. Neither the model valuation nor the savings are completed financial results.

Latest reported financial results

LCI's latest quarterly results available at this update cover the three months ended June 30, 2026, released on August 5. Third-quarter results are scheduled for November 5. Reported figures follow standard U.S. accounting rules.

US dollars in millions, except earnings per share.
MeasureQ2 2026Q2 2025
Reported sales$968.7$1,107.3
Adjusted sales$1,057.5$1,107.3
Reported net profit$67.1$57.6
Reported diluted earnings per share$2.75$2.29
Adjusted diluted earnings per share$2.70$2.39

Reported sales fell 12.5%. They included an $88.8 million reduction for tariff refunds expected to be passed to customers. LCI's adjusted sales remove that reduction and fell 4.5%. The refunds also produced a net benefit to reported profit. Adjusted earnings remove that benefit along with specified merger, restructuring and other items, helping explain why adjusted earnings per share were lower than reported earnings per share. Diluted earnings per share allows for potential extra shares that could reduce each share's claim on profit.

Cash generation and debt

Operating activities generated $170.2 million in the first six months of 2026, compared with $154.9 million in the corresponding half year. These are six-month totals. LCI used $92 million to pay the remaining balance of its 2026 convertible notes at maturity during that half year.

Financial outlook and market conditions

In August, LCI reduced its full-year 2026 revenue forecast to $3.9 billion to $4.1 billion as RV market conditions softened. Its adjusted earnings forecast was $8.25 to $8.75 per share. These are the expectations issued on August 5, not new guidance issued with the October 30 merger announcement.

The October merger supplement includes a separate full-year 2026 sales projection of $3.946 billion for LCI standalone, near the lower end of its August forecast range. This is a management projection used in the merger analysis, not reported sales or newly issued earnings guidance.

The supplement also updates longer-range plans to reflect continued RV-market weakness. Forecast savings depend on completing and integrating the Patrick transaction; the merger remains separate from LCI's current standalone financial results.
