DTE Energy Company is a Detroit-based energy group whose electric utility serves about 2.3 million customers in Southeast Michigan and whose gas utility serves about 1.4 million customers across Michigan. Its common shares trade on the New York Stock Exchange as DTE, and its financial year ends December 31. Its non-utility businesses include Vantage and Energy Trading.
On November 1, 2026, DTE signed an agreement to sell most Vantage operations to Velocity BidCo, owned by institutional investors advised by J.P. Morgan Asset Management's infrastructure group. The base purchase price is $2.971 billion before customary closing adjustments. The sale is pending and expected to close in 2027, subject to regulatory approvals, required consents and other conditions.
DTE will retain EES Coke and the separate Energy Trading business. EES Coke had a $120 million accrual for a court order at September 30; the defendants intend to appeal. No gain or sale proceeds from the pending Vantage transaction have been recognized.
The updated 2027–2031 utility investment plan totals $44.2 billion: $39 billion at DTE Electric and $5.2 billion at DTE Gas. The electric plan includes $23 billion for cleaner generation, $12 billion for distribution infrastructure and $4 billion for base infrastructure. The prior utility plan totaled $34.5 billion for 2026–2030. September's $36.5 billion group plan also included approximately $2 billion for Vantage.
DTE says Oracle's 1.4-gigawatt contracted load is approved and under construction, with demand expected to ramp up in 2027. Google's 1.0-gigawatt agreement is now approved and included in the plan, with demand expected to fully ramp by the end of 2028. The company expects proceeds from Vantage to support utility investment.
| Measure | 2025 | 2026 |
|---|---|---|
| Revenue | $3,527 | $3,727 |
| GAAP operating income | $619 | $603 |
| GAAP net income attributable to DTE | $419 | $470 |
| GAAP earnings per share | $2.01 | $2.25 |
| Operating earnings per share, adjusted | $2.25 | $2.30 |
DTE's operating earnings measure excludes non-recurring items, certain derivative mark-to-market changes and discontinued operations. Group operating earnings rose to $481 million from $468 million. Vantage contributed $110 million versus $41 million, while DTE Electric contributed $468 million versus $541 million. The Vantage segment includes the coke operations DTE plans to retain.
GAAP net income benefited from a $107 million income tax benefit, compared with $6 million a year earlier. Pre-tax income fell to $363 million from $413 million. For the first nine months, group operating earnings fell to $1.162 billion from $1.187 billion.
First-nine-month operating cash flow was $2.447 billion, versus $2.361 billion a year earlier. Cash plant and equipment spending totaled $4.112 billion, up from $3.066 billion. DTE also invested $193 million in notes receivable and paid $701 million of common dividends.
At September 30, cash and equivalents were $33 million, with another $44 million of restricted cash. Carrying debt totaled $28.529 billion, compared with $26.023 billion at December 31, including short-term borrowings, junior subordinated debt, securitization bonds and finance leases. Separately, DTE reported about $2.49 billion available across revolving credit and letter-of-credit facilities, some of which are uncommitted.
In October, DTE borrowed $600 million under a term loan maturing in September 2027 and redeemed $600 million of notes at maturity. Its outstanding equity forward agreements are expected to be extended into 2027. The current investment plan calls for approximately $1 billion of annual equity issuance on average in 2027–2031 and may include additional junior subordinated debt. September's equity plan was $500 million to $600 million annually through 2028, with similar amounts through 2030.
DTE maintained its 2026 operating earnings forecast of $7.59 to $7.73 per share, unchanged from July, and expects to reach the high end. Its new long-term operating earnings growth target is more than 9% per year from 2027 through 2031, compared with the prior 6% to 8% target through 2030 from the 2026 midpoint.
The 2027 pro forma baseline of $7.59 to $7.73 per share assumes the Vantage sale closes by year-end 2026. Actual expected closing in 2027 and the timing of reinvestment can change that year's reported earnings. The baseline anchors the long-term growth target.
