ANI Pharmaceuticals, Inc. develops, manufactures and sells pharmaceuticals through rare-disease, generic and established-brand businesses. Its major rare-disease products include Cortrophin Gel and ILUVIEN. Shares trade as ANIP on Nasdaq.

ANI completed its acquisition of Alimera on September 16, 2024, adding ILUVIEN and YUTIQ, and acquired Novitium on November 19, 2021. The proposed Egetis transaction announced in November 2026 remains pending.

Quarterly financial record

Millions of U.S. dollars except EPS. Both Q3 periods ended September 30.
MeasureQ3 2025Q3 2026
Group net revenue$227.8$290.8
Cortrophin revenue$101.9$138.7
ILUVIEN revenue$16.6$22.3
Generic product revenue$94.4$104.5
Net income, GAAP$26.6$35.1
Diluted EPS, GAAP$1.13$1.51
Adjusted diluted EPS$2.04$2.70
Adjusted EBITDA$59.6$83.3

Adjusted EBITDA removes interest, tax, depreciation and amortization, stock compensation, contingent-consideration valuation changes and specified acquisition, litigation and other items. Adjusted EPS has its own reconciliation and uses an adjusted diluted share count that removes convertible dilution intended to be covered by capped-call transactions.

ANI's adjusted gross margin was 61.8%. Its calculation excludes depreciation and amortization from cost of sales and removes cost-of-sales stock compensation. This basis matters when comparing margins with other drugmakers.

Cortrophin's target and the pharmacy bottleneck

The August release cut annual Cortrophin revenue expectations to $520 million to $540 million from $540 million to $575 million. November lowered the range again to $480 million to $500 million.

ANI attributes slower-than-expected revenue conversion to capacity constraints in its specialty-pharmacy network. It is expanding that network and patient-support resources. Management reports strong demand indicators, including the gout expansion, but the conversion into patients on therapy is the key near-term execution measure.

Nine-month Cortrophin revenue was $330.9 million. The latest annual range implies approximately $149.1 million to $169.1 million in Q4, compared with Q3's $138.7 million. This is the arithmetic needed to reach the annual endpoints.

Management's 2026 full-year expectations.

Group revenue$1.080bn to $1.140bn$1.085bn to $1.125bn
Cortrophin revenue$520m to $540m$480m to $500m

The Harmony agreement provided $9.5 million of royalties and $2 million of development revenue in Q3. Nine-month revenue from that agreement included a $15 million upfront license fee, $25.7 million of royalties and $10 million of development milestones. The mix includes amounts that do not recur every quarter.

The proposed Egetis purchase and financing

ANI's offer is SEK 11.25 per Egetis share, alongside consideration for its convertible debt and warrants. ANI values the total offer at approximately $560 million using the exchange-rate assumption stated in its announcement.

Egetis has agreed to sell a priority review voucher for $190 million of gross proceeds, with former owners of an acquired business entitled to part of that amount. ANI's offer valuation already reflects the estimated net proceeds.

Expected funding combines ANI cash and up to $300 million of additional debt. The signed $676 million bridge commitment has a wider purpose: it can finance the offer and refinance existing ANI term loans and certain Egetis debt. The bridge matures 364 days after initial funding.

The offer includes a 90% tender condition on a fully diluted basis, which ANI may waive, and regulatory approvals. ANI expects closing in late 2026 or early 2027. It forecasts approximately 2.7 times trailing pro forma net leverage at closing and first-year adjusted EPS dilution from U.S. launch investment.

Cash, debt and shareholder returns

Nine-month operating cash flow was $198.8 million, versus $154.9 million a year earlier. After property and equipment spending, $176.2 million remained versus $142.3 million previously. Separate purchases of intangible assets also used cash.

At September 30, unrestricted cash was $420.8 million, versus $285.6 million at the previous year-end. Existing principal debt totaled $616.9 million: $300.6 million of term loans and $316.3 million of convertible notes. The combined carrying amount after financing costs was $607.2 million.

The term loan and revolver mature in September 2029. The convertible notes mature September 1, 2029 and have a 2.25% coupon. Revolving availability was $74.9 million. These are pre-acquisition balances and facilities.

The May 2026 buyback authorization permits $100 million of purchases. Repurchase cost was about $7.5 million through September, including unsettled trades; cash paid under the program was about $7.0 million. Another $12.5 million was purchased from October 1 through November 2, bringing the total to approximately $20 million by that date.
