Beyond the headline.
Inside the numbers.
Ticker Byline
Adeia licenses media and semiconductor patents. It lowered its annual sales forecast as selected deals may move beyond year-end, while a lower cost outlook softens the profit impact and nine-month cash generation remains ahead of last year.
Adeia Inc. (Nasdaq: ADEA) develops and licenses patents covering digital media and semiconductor technologies. Media inventions support services such as content discovery and streaming; semiconductor inventions include chip interconnection and thermal management.
The table compares the three months ended September 30. Amounts are USD millions, except per-share figures.
| Results | 2026 | 2025 |
|---|---|---|
| Revenue | 80.2 | 87.3 |
| Operating income, GAAP | 9.0 | 27.0 |
| Net income, GAAP | 2.3 | 8.8 |
| Diluted EPS, GAAP | 0.02 | 0.08 |
| Adjusted net income | 23.8 | 32.1 |
| Adjusted EBITDA | 36.9 | 50.7 |
Adjusted net income removes stock compensation, amortization and selected transition and separation costs, with associated tax adjustments. Adjusted EBITDA also removes interest, taxes, depreciation and other income. Litigation expense remains included; it rose to $7.2 million from $5.2 million.
Revenue was also below Q2's $96.1 million. Across the first nine months, revenue reached $281.1 million.
The 2026 revenue forecast is $375 million to $415 million, down from the $395 million to $435 million range reaffirmed in August. The new upper end equals the old midpoint.
Adjusted operating expenses are forecast at $176 million to $180 million, versus $184 million to $192 million. Adjusted EBITDA is forecast at $201.1 million to $237.1 million, versus $213.4 million to $245.4 million.
GAAP annual net income is forecast at $52.8 million to $79.2 million, versus $57.2 million to $80.4 million. Adjusted net income is forecast at $136.7 million to $164.3 million, versus $144.2 million to $168.7 million.
Management attributes the revenue reduction to the possibility that selected licensing deals close after year-end.
Adeia signed eight licensing agreements in Q3, including four new customers. The agreements included multi-year renewals with Charter and TCL and a new agreement with Fanatics.
Fixed-fee media licensing revenue is generally recognized over the contract term. For semiconductor licenses with a fixed payment or minimum payment, revenue is generally recognized when the customer can begin using the technology. Fees covering past use are recognized at signing. Contract count therefore does not directly measure recognized revenue.
The longer-term annual revenue ambition remains $600 million, raised from $500 million in August. Its components are $400 million in media and $200 million in semiconductors.
Q3 operating cash flow was $5.1 million. For the first nine months it was $118.2 million, versus $98.1 million a year earlier. Cash spending included $2.1 million on property and equipment and $15 million on intangible assets.
At September 30, cash was $64.3 million and marketable securities were $63.4 million, totaling $127.7 million. Term-loan principal was $386.5 million after $6.1 million of quarterly principal repayments. The balance-sheet carrying value of debt was $380.8 million after financing-cost adjustments.
The board declared a $0.05 dividend payable on December 14 to holders of record on November 23.
Dipti Vachani is Adeia's chief executive officer, succeeding Paul Davis. The company highlighted her semiconductor-industry experience as it pursues opportunities across media and chips.
