Wendy's news and analysis covering the takeover proposal, Dave's Way turnaround, restaurant sales, franchisees, earnings, cash flow and debt.
The Wendy's Company operates and franchises quick-service restaurants, with 7,194 locations at September 27, 2026: 432 company-operated and 6,762 franchised. Its shares trade on Nasdaq as WEN. It reports a 52- or 53-week financial year ending on the Sunday closest to December 31; fiscal 2026 ends January 3, 2027. Bob Wright leads the company as president and chief executive.
On November 5, an independent board committee rejected an unsolicited, nonbinding $7.35-per-share cash proposal from Trian Partners, Flynn Group, BlueFive Capital and Sixth Street. The offer covers shares the investor group does not already own. The committee says the price undervalues the business and the potential of the Dave's Way turnaround.
The bidders' October 28 letter argues that private ownership would better support the investment needed. It proposes equity funding and a rollover of Trian's existing shares, with no new debt or financing condition. Equity commitments were to be delivered with definitive transaction agreements.
The board adopted a rights plan on November 4 with a general 15% ownership trigger. Existing holders above the threshold are grandfathered, subject to additional-purchase rules and exceptions. A triggering buyer can be diluted through rights held by other shareholders. The plan expires November 3, 2027, unless redeemed or exchanged earlier.
| Measure | 2025 | 2026 |
|---|---|---|
| Revenue | $549.5 | $547.0 |
| GAAP operating profit | $92.0 | $55.8 |
| GAAP net income | $44.3 | $15.1 |
| GAAP earnings per share | $0.23 | $0.08 |
| Adjusted earnings per share | $0.24 | $0.13 |
| Adjusted EBITDA | $138.0 | $113.4 |
Adjusted results exclude specified items including portfolio gains, reorganization costs, impairments, advertising-fund adjustments and $11.9 million of strategic-initiative costs in the current quarter. Reported revenue includes advertising funds; adjusted revenue excludes those funds and fell to $435.6 million from $442.5 million.
U.S. same-restaurant sales fell 5.7%, compared with a 7% decline in the second quarter. International same-restaurant sales fell 2.2%. U.S. company-operated restaurant margin declined to 11.7% from 13.1%, with lower traffic and inflation in labor and food costs. Management says traffic improved through the quarter and into October.
Dave's Way covers menu value and quality, marketing, operations, digital experience and restaurant ownership. Tests are underway ahead of a 2027 menu relaunch. Management sees potential for up to $200 million of restaurant-level EBITDA improvement across the system from a more location-specific breakfast strategy.
Wendy's delivered a termination notice to Meritage Hospitality on September 16 over missed payments, including $27.4 million of overdue fees. Meritage filed for Chapter 11 protection on September 17. A November 4 letter of intent would allow Wendy's to acquire up to 163 restaurants, subject to a definitive agreement, better offers and court approval.
That pending transaction is separate from 69 franchisee-to-franchisee transfers and four completed sales of company restaurants during the first nine months. The company reported no cash acquisition spending in 2026 through September.
First-nine-month operating cash flow was $238.950 million, versus $275.263 million. Company-defined free cash flow was $174.224 million, versus $195.605 million, after capital spending, franchise-development-fund investment and an advertising-fund adjustment. Lower earnings and franchisee payment delays weighed on operating cash.
At September 27, cash and equivalents were $373.704 million. Another $39.381 million was restricted cash, bringing the corporate cash figure to $413.085 million. A further $18.874 million of advertising restricted cash is included in the cash-flow statement's broader cash total.
Carrying debt was $2.742 billion, including the current portion. Finance lease liabilities of $675.8 million and operating lease liabilities of $634.5 million are separate. The company reported compliance with its debt covenants. Its $300 million variable funding note limit also supports letters of credit.
Wendy's paid $66.687 million in cash dividends during the first nine months. The latest quarterly dividend is 7 cents, unchanged from August. No program shares were repurchased in the first nine months; the $1.922 million repurchase cash-flow line was excise tax on 2025 repurchases. Approximately $35 million of authorization remains.
The company withdrew its numerical 2026 financial outlook in August. The November earnings release and presentation did not reinstate annual numerical guidance. Management points to traffic improvement, menu testing, delivery and stronger franchisee economics as the measures of progress for Dave's Way.
