Comparable quarterly earnings

Millions of U.S. dollars except EPS, margins and fee rates. Three months ended September 30.
MeasureQ3 2025Q3 2026
Revenue, GAAP$361.2$396.6
Operating income, GAAP$138.1$137.7
Net income before preferred allocations, GAAP$96.5$91.3
Net income attributable to common shareholders$74.3$69.0
Diluted EPS, GAAP$1.11$1.11
Adjusted EBITDA$190.5$212.1
Adjusted EBITDA margin52.7%53.5%
Adjusted net income with tax benefit$141.3$163.2
Adjusted EPS with tax benefit$1.63$1.98

Adjusted measures remove specified stock compensation, acquisition-intangible amortization, deal, restructuring and financing costs. The measure with tax benefit adds a supplemental benefit from deductions on goodwill and acquired intangible assets.

The current GAAP diluted denominator is 62.5 million shares. The adjusted denominator is 82.5 million, including participating preferred shares. The two EPS measures therefore differ in both adjustments and share basis.

Flows, fee rates and earlier expectations

Quarter-end assets under management were $351.9 billion, within total client assets of $355.5 billion. Long-term net inflows of $11.7 billion were already disclosed on October 12. Fixed-income and Solutions flows helped, while U.S. equity strategies had outflows. ETF flows overlap those asset categories.

The annualized revenue rate on AUM fell from 47.2 basis points a year earlier and 47.9 in Q2 to 44.8 in Q3. One basis point is 0.01 percentage point. August's Q2 release had already explained annual-fee recognition; the November filed call excerpts quantify more than $50 million in Q2 versus approximately $0.5 million in Q3 for those fees.

Management reiterated full-year average fee-rate guidance of 46 to 47 basis points, equivalent to 0.46% to 0.47%, and expects a modest Q4 improvement. Its expectation of a higher blended fee rate after First Eagle depends on completing that acquisition.

Share awards and reported profit

Personnel expense rose from $97.0 million to $126.0 million. Total stock compensation increased from $5.6 million to $36.5 million. The one-time March executive grant reached its first two stock-price hurdles in Q3, accelerating $22.2 million of expense. The grant has a seven-year measurement period.

Adjusted earnings remove $32.5 million of specified stock-compensation expense rather than the entire $36.5 million. Current acquisition-related costs of $15.5 million compare with $0.4 million a year earlier, while some earlier integration costs declined.

Cash, capital returns and debt

Millions of U.S. dollars. Nine months ended September 30. The 2025 period includes six months of Pioneer operations; 2026 includes nine months.
Measure20252026
Operating cash flow$240.4$479.7
Cash property and equipment purchases$3.6$3.0
Cash common-share repurchases$144.9$225.2
Employee withholding on net share settlements$11.8$54.1
Cash dividends$115.7$123.9

At September 30, cash was $207.7 million. Term-loan principal was $975.2 million, compared with a carrying value of $965.9 million after financing costs and discounts. The term loan matures in September 2032. The existing $100 million revolver was undrawn and matures September 23, 2030. The company complied with its financial covenant.

WestEnd's contingent-payment liability had an estimated fair value of $53.8 million, expected to be payable over the following year. The remaining potential maximum was $80 million. Operating lease liabilities were a separate $42.4 million.

Completed Pioneer acquisition and pending First Eagle deal

Victory completed the Amundi U.S. acquisition on April 1, 2025 and reintroduced the Pioneer Investments brand. The approximately $1.326 billion purchase price was paid entirely in company shares. The different ownership periods affect year-to-date comparisons.

The First Eagle agreement was signed in August 2026. Management expects completion by the end of Q1 2027. The November 17 shareholder meeting concerns share issuance for the transaction.

Conditional financing includes a new revolver of up to $200 million, separate from the existing undrawn $100 million facility. The new financing becomes available subject to the transaction conditions. The key follow-up is whether record client flows keep improving earnings as the company funds and integrates its next acquisition.
