Talen generates and sells electricity and grid capacity. Acquisitions expanded its generating fleet. Its new quarterly filing quantifies the financing charge and future capacity receipts committed to fund an accelerated share repurchase.
Talen Energy (Nasdaq: TLN) generates and sells electricity, capacity and related services. Its fleet includes nuclear and fossil-fuel plants, with much of its business in the PJM wholesale market. Energy sales pay for electricity produced; capacity payments compensate generators for being available when the grid needs them.
Acquisitions have expanded the fleet and changed the financial comparisons. Freedom and Guernsey joined Talen in November 2025. The Cornerstone acquisition, comprising Lawrenceburg, Waterford and Darby, closed June 15, 2026. The 2026 third quarter includes those businesses during ownership; the prior-year quarter includes none of them.
| Measure | 2026 | 2025 |
|---|---|---|
| Operating revenue | $1,327 | $812 |
| GAAP operating income | $255 | $263 |
| GAAP net income attributable to stockholders | $138 | $207 |
| GAAP diluted EPS | $2.88 | $4.25 |
| Adjusted EBITDA | $669 | $363 |
| Adjusted free cash flow | $433 | $223 |
Talen attributes the adjusted improvement to acquired plants, higher realized power prices and generation, and higher capacity revenue. GAAP profit also reflects unrealized commodity marks, financing costs and gains in nuclear decommissioning trust investments. Interest and other finance charges rose to $148 million from $67 million.
Adjusted EBITDA removes interest, taxes, depreciation, amortization and specified items including commodity marks, compensation and asset-sale gains. Adjusted free cash flow then deducts selected capital spending, cash finance charges, specified tax payments and pension contributions. It excludes acquisition payments and development, growth and conversion capital spending.
November's 2026 forecast is $2.05 billion to $2.2 billion in adjusted EBITDA and $1.225 billion to $1.325 billion in adjusted free cash flow. Both ranges narrowed from August, with their midpoints unchanged.
The formal 2027 ranges are $2.5 billion to $2.85 billion and $1.5 billion to $1.75 billion, respectively. The free-cash-flow midpoint is about 27% above 2026 guidance. An original January presentation already estimated roughly $1.6 billion for 2027, including the then-proposed Cornerstone acquisition. The new annual comparison includes Cornerstone's first full calendar year.
Cornerstone originally carried a $3.45 billion announced price, including $2.55 billion cash and approximately 2.4 million shares. Provisional acquisition accounting reports $2.617 billion cash and $927 million of equity consideration. The cash price was subject to closing adjustments, and the stock was valued at closing. April debt issuance funded the cash purchase and redemption of older secured notes. Closing occurred before the originally expected early-second-half window.
Talen announced the $1.5 billion accelerated repurchase September 29. It received and retired 3,811,460 shares October 1, with final settlement expected by the first quarter of 2027. The final share total depends on prices during the program. Actual shares outstanding fell from 47,316,772 at September 30 to 43,505,312 on November 3.
The company financed the repurchase mainly by advancing $1.5 billion of future capacity receipts, less a $157 million financing discount. Net proceeds were approximately $1.3 billion. PJM will pay the financing counterparty $432 million in 2027, $757 million in 2028 and $311 million in 2029. Talen keeps the operating obligations and performance risks; the advance creates a liability.
The $3 billion repurchase authorization includes the accelerated program. Another $1.5 billion remains available for discretionary purchases through 2028.
Nine-month GAAP operating cash flow rose to $490 million from $424 million. Adjusted free cash flow was $995 million versus $232 million, using the different definition above.
September 30 cash was $335 million and debt principal $9.689 billion, before the October capacity advance and repurchase. At October 30, cash was $220 million, with about $1.4 billion of available revolving credit. September's announcement targeted 3.5 times net leverage in the second half of 2027. The next tests are the final repurchase settlement and delivery of the earnings and cash flow supporting that target.
