Tenet Healthcare operates hospitals and outpatient surgery centers through USPI and provides billing and collections services through Conifer.
Tenet Healthcare Corporation trades on the New York Stock Exchange under THC. It operates hospitals and outpatient services, owns interests in surgery centers through United Surgical Partners International, or USPI, and provides billing and collections services through Conifer.
Comparable quarters ended September 30. Dollar amounts are millions. Net income is attributable to Tenet common shareholders, after the share belonging to outside owners of its businesses.
| Metric | Q3 2025 | Q3 2026 |
|---|---|---|
| Net operating revenue | $5,289 | $5,631 |
| Net income | $342 | $1,000 |
| Adjusted EBITDA | $1,099 | $1,355 |
| Operating cash flow | $1,058 | $1,281 |
Adjusted EBITDA measures earnings before interest, taxes and asset depreciation, with selected costs and gains removed. The quarter included $646 million of separately reported contract-termination revenue, which helped reported net income but was removed from adjusted EBITDA. The adjusted measure retained a different $147 million benefit: $97 million of earlier service-revenue recognition and about $50 million from transition activities, including efficiencies.
USPI's adjusted EBITDA rose to $537 million from $492 million. Comparable systemwide surgical cases fell 1.5%, while revenue per case rose 6.1%; these operating statistics include facilities Tenet does not consolidate. Same-hospital admissions rose 2.8%.
Full-year 2026 expectations, in billions of dollars. The July outlook came with second-quarter results; the October outlook accompanied third-quarter results.
| Forecast | July 23 | October 29 |
|---|---|---|
| Net operating revenue | $21.90 to $22.50 | $22.05 to $22.45 |
| Adjusted EBITDA | $4.83 to $5.03 | $5.05 to $5.20 |
| Adjusted free cash flow | $2.725 to $3.025 | $2.825 to $3.125 |
The adjusted EBITDA midpoint rose $195 million and the adjusted free-cash-flow range rose $100 million. Earlier recognition of the CommonSpirit service revenue changed its quarterly timing, leaving the full-year contract-related revenue expectation unchanged. Growth in care earnings is a separate part of the annual outlook.
CommonSpirit's billing-services agreement originally ran through 2032. January's deal brought its end forward to December 2026. Tenet said on October 29 that the faster transition was expected to be substantially complete by October 30.
The transaction also made Tenet the full owner of Conifer. CommonSpirit's 23.8% interest was redeemed effective January 1, 2026. Of the $1.9 billion consideration for ending the contract, $540 million was settled on January 27 against the price of that stake.
The remaining $1.36 billion is an interest-free note payable in three annual installments beginning in January 2027, followed by January 2028 and January 2029.
Operating cash flow for the first nine months was $3.51 billion, up from $2.81 billion. Tenet's adjusted free cash flow was $2.52 billion, versus $2.25 billion: it removes the $540 million contract-termination amount included in operating cash flow, adds back $103 million of specified restructuring, acquisition and litigation payments, and deducts $546 million of capital spending.
The $540 million relates to the initial contract settlement and stake transaction. Distributions to outside owners of Tenet businesses are a further use of cash: they totaled $614 million over nine months and sit outside its adjusted free-cash-flow calculation. Share repurchases used another $1.62 billion.
September cash was $2.67 billion, compared with $2.88 billion at December 31. The balance sheet carried $13.08 billion of noncurrent debt and $164 million due within a year. In September, Tenet issued $2 billion of notes due in 2034 to refinance $1.5 billion due in 2027 and $500 million due in 2028.
Next results can show whether patient-care earnings and cash generation meet the higher annual targets as the CommonSpirit work ends. The first installment on the remaining contract note is due in January 2027.
