Quarterly record

Continuing operations, millions of U.S. dollars except EPS and margins. Current Q3 ended September 30, 2026; prior Q3 ended September 28, 2025.

Net income, GAAP-$58.4$54.3
Diluted EPS, GAAP-$1.32$1.30
Adjusted diluted EPS$1.89$2.63
Adjusted operating margin22.0%25.0%

Teleflex changed to calendar-month reporting in January 2026. Comparable sales grew 3% in Q3 after adjusting prior ownership of Vascular Intervention, discontinued products, the Italian payback measure and currency. Vascular grew 4.6%, Surgical 5.1% and Interventional 0.2% on that basis.

The prior GAAP operating loss included a $100 million impairment. Current total consolidated net income of $927.4 million also includes $873.1 million from discontinued operations, largely reflecting the OEM disposal. Continuing earnings provide the comparison in the table.

Adjusted EPS excludes restructuring, impairments, acquisition and divestiture costs, separation costs, selected Italian payback and other items, ERP implementation, certain European device-registration expenses, intangible amortization and tax adjustments. Current-year tariff refunds remain included; prior-year refunds are removed.

Tariff refunds and the annual outlook

Q3 tariff refund cash totaled $39.2 million. Continuing operations recognized $25.3 million of benefit: $16.5 million related to current-year tariffs, retained in adjusted results, and $8.8 million from prior-year tariffs, excluded from adjusted results. The balance related to discontinued businesses.

The issuer attributes approximately 2.9 percentage points of gross-margin benefit to the current-year refunds. Nine-month adjusted operating margin was 20.9%, compared with 23.2% a year earlier.

Reported sales growth13.4% to 14.4%13.2% to 14.2%
Approximate adjusted operating margin19%20%

The change in reported sales growth reflects exchange rates. The comparable measure assumes prior ownership of the acquired Vascular Intervention business and excludes discontinued products, the Italian adjustment and foreign exchange.

August's EPS range excluded potential refunds and the then-announced $250 million accelerated buyback. November's forecast includes the current-year refund and $600 million of completed repurchases. It assumes approximately $85 million of annual net interest expense and 42.5 million shares.

The latest forecast excludes further repurchases under the remaining $400 million authorization, additional debt repayment from divestiture proceeds and transition/manufacturing service benefits from the pending Acute Care and Interventional Urology transaction.

Completed and pending transactions

The OEM sale to Montagu and Kohlberg closed August 3, 2026 for approximately $1.5 billion in cash, with after-tax proceeds estimated at about $1.25 billion. Taxes on the sale are expected to be paid in Q4 using cash and revolving borrowings.

Teleflex repaid its $700 million term A-2 loan and $490 million of revolving borrowing in August. These were completed uses of sale proceeds.

The Acute Care and Interventional Urology sale to Intersurgical remains pending. Expected gross cash proceeds are approximately $530 million before customary adjustments and transaction costs. Management is working toward a year-end closing, subject to regulatory approval, with timing possibly extending into 2027.

Teleflex completed the BIOTRONIK Vascular Intervention acquisition in Q3 2025. Integration continues. Separate integration and divestiture-related restructuring programs are expected to run through 2028, with future savings dependent on implementation.

Cash generation and shareholder returns

Nine-month operating cash flow from continuing operations rose to $234.8 million from $10.3 million. After capital spending of $54.4 million, $180.4 million remained. Lower tax payments, operating-balance movements, a $25 million patent settlement and tariff refunds supported the comparison.

Cash repurchases through September totaled $555.0 million. Completed purchases through November 5 reached $600 million, including $350 million since July 1. The latter amount consists of the $250 million accelerated program, settled October 7, and $100 million of open-market buying. Approximately $400 million of authorization remained.

Debt, liquidity and retained obligations

September principal debt was $1.632 billion, versus $2.650 billion at the prior year-end. Its $1.619 billion carrying amount deducts financing costs. Debt included $496.9 million of term A-1 borrowing, $60 million on the revolver, $75 million of receivables securitization and two $500 million note issues due in 2028 and 2032.

The revolver and term A-1 mature in May 2031. The notes carry coupons of 4.25% and 5.875%, respectively. Unrestricted continuing cash was $430.5 million. A separate $13.9 million of restricted retirement-plan cash brought continuing cash including restrictions to $444.3 million.

A $46.7 million Palette acquisition milestone claim is included within $47.3 million of contingent consideration, with payment disputed. Teleflex also retains a separate estimated $4.6 million Palette tax liability after the planned sale.
