Talos Energy Inc. (NYSE: TALO) explores for and produces oil, natural gas and natural gas liquids offshore, primarily in the U.S. Gulf. Its fiscal year ends December 31. Oil-equivalent production combines physical oil and liquids with natural gas on an energy-equivalent basis.

The revised annual budget

The November 2026 update lowered capital-expenditure guidance to $475 million–$525 million from August's $500 million–$550 million. It raised plugging, abandonment and decommissioning guidance to $135 million–$145 million from $100 million–$130 million. The combined midpoint remains $640 million, excluding acquisitions and operating expenses.

Annual production guidance rose to 92,500–94,500 barrels of oil equivalent a day from 87,000–91,000. The new portfolio includes September's Shell acquisition and July's shelf-asset sale. It also incorporates an estimated fourth-quarter hurricane impact of about 7,000 barrels of oil equivalent a day.

Cash operating-expense and workover guidance increased to $580 million–$600 million from $560 million–$590 million. Adjusted overhead guidance of $135 million–$145 million was unchanged from August.

Adjusted net income removes $90.7 million of unrealized derivative losses and retains $29.8 million of cash hedge losses. Other adjustments include $47.1 million of tax expense, $37.4 million of debt-extinguishment costs and share-based compensation, with smaller offsets.

Adjusted free cash flow of $186.3 million is before working-capital changes. It deducts accrued capital costs, well-plugging costs, interest and specified other items from adjusted EBITDA. Actual quarterly cash purchases of exploration, development and other capital assets were $140.3 million, compared with $127.9 million of capital expenditures recognized in the quarter.

Production was 91,500 barrels of oil equivalent a day, including 68,500 barrels of oil. Lease operating costs fell to $16.74 per equivalent barrel from $18.25 in Q2, which included one-time well-intervention costs. Talos said it exceeded its $100 million annual performance-improvement target early.

Acquisitions, funding and project timing

The $420 million Shell acquisition closed September 22, including a previously escrowed $42.5 million deposit. Talos acquired 50% of Coulomb and operatorship, plus 25% of Na Kika and associated fields. The deal was already public before the November results.

July's $800 million note issue refinanced $625 million of older notes and funded part of the acquisition. At September 30, gross notes were $1.425 billion and cash was $410.2 million, with restricted cash reported separately. The $850 million borrowing base was undrawn, although $183.8 million of letters of credit reduced availability.

The reported 0.6-times net leverage ratio uses acquisition- and disposal-adjusted historical earnings, rather than only earnings actually reported over the preceding year. Talos repurchased about $23.6 million of shares in Q3; remaining authorization was approximately $176 million.

Monument first oil moved from an August expectation of year-end 2026 to Q1 2027. The CPN well began producing in September. Mexico's Block 29 farm-in remains subject to closing; Talos had closed a 45% Honduras interest, with another 35% awaiting approval.

Future cleanup and financial security

At September 30, recognized asset-retirement obligations totaled $1.458 billion, including $182.9 million classified as current. These are estimated future retirement costs.

Future financial-security funding commitments totaled $298.2 million. Posting cash or letters of credit for this collateral uses liquidity. The total includes $97.8 million of Shell-related cash collateral due by the end of 2032, subject to recalculation.
