Tools for making biological medicines

Repligen Corporation trades on Nasdaq as RGEN. It supplies filtration, purification, fluid-management and other technologies used in the production of biological medicines. Its customers include drug developers, manufacturers and contract producers.

Operating history before BioLife enters the accounts

Figures below cover the three months ended September 30. Dollar amounts are in millions. BioLife was acquired after this period.

MetricQ3 2025Q3 2026
Revenue$188.8$209.3
Operating income / loss$16.8-$29.5
Net income / loss$14.9-$38.4

Sales grew 10.9%. A $41.2 million impairment of developed-technology assets under an intellectual-property license agreement contributed to the reported loss. For the first nine months, operating cash flow rose to $104.2 million from $91.7 million.

The acquisition is complete

Repligen completed the acquisition of BioLife Solutions on October 6, 2026, for approximately $1.9 billion. Consideration included about 7.2 million new Repligen shares and $564 million of existing cash. BioLife, now a wholly owned subsidiary named BioLife Solutions, LLC, adds cell-processing and preservation tools. Its results enter Repligen's accounts in the fourth quarter.

September 30 cash of $727.0 million and marketable securities of $136.0 million preceded that cash payment. At that date the existing convertible notes had $600 million of contractual principal and a $555.6 million balance-sheet carrying value after accounting adjustments for discounts and issuance costs.

What changed in the outlook

July's 2026 revenue forecast was $813 million to $835 million and excluded pending acquisitions. On October 27, Repligen raised it to $844 million to $852 million, including BioLife from October 6. The latest outlook includes about 2.5 percentage points of growth from acquisitions net of the Polymem divestiture.

The organic revenue growth range, excluding acquisitions, divestitures and currency effects, narrowed from 10.5% to 13.5% in July to 12% to 13%. The higher reported-sales forecast therefore combines operating developments with a changed business perimeter.

A signed financing, with closing still ahead

The October 30 announcement describes the following terms. Closing is expected around November 6, 2026. Dollar amounts are contractual principal in millions.

Part of transactionAmount
Old 2028 notes exchanged$456.8
New 2031 notes issued in exchange$541.4
New 2031 notes sold for cash$458.6
Old notes remaining$143.2

The new notes pay 0.25% annual cash interest, versus 1% on the old notes. Total principal after closing would be approximately $1.14 billion. The regular annual cash coupon across both issues would fall from about $6.0 million to $3.9 million; this excludes other financing costs and the higher repayment amount.

Repligen plans $120 million of share repurchases from participating investors, leaving approximately $339 million of gross subscription proceeds before fees for other purposes. The exchange itself supplies no cash.

The initial conversion price is approximately $226.37. Principal is payable in cash on conversion, with excess value payable in cash or shares at the company's election. Following results can track BioLife's contribution, the enlarged share count and completion of the financing.
