The earlier quarter also included $152 million of litigation expense and a $206 million deferred-tax benefit.

Completed Actio purchase

Jazz completed the acquisition of Actio Biosciences on September 15, 2026. The deal brought ABS-1230, now called JZP6979, an experimental epilepsy program.

The upfront payment was $820 million net of acquired cash. Gross cash consideration was $839.9 million, and transaction costs were $10.8 million. Accounting consideration totaled $850.7 million; the cash-flow statement records $830.8 million paid after acquired cash. Up to $500 million of further payments depend on milestones.

Because the deal was an asset acquisition and the research had no alternative future use under the accounting rules, $754.2 million was expensed immediately. That amount stays in adjusted earnings.

Jazz also assumed Actio's position in a pending trade-secret and contract lawsuit brought by Praxis. Its filing says it intends to defend the claims. According to the filing, an unfavorable outcome could restrict Jazz's ability to develop or bring the acquired drug to market. Trial was scheduled for July 2028 at the time of the quarterly filing.

Annual forecasts and implied fourth-quarter sales

On August 3, Jazz forecast 2026 revenue of $4.600 billion to $4.750 billion. On November 2, it raised the range to $4.775 billion to $4.850 billion.

With nine-month revenue of $3.520 billion already reported, our calculation implies approximately $1.255 billion to $1.330 billion of fourth-quarter sales to meet that annual range.

Cash generation and capital allocation

Operating cash flow for the first nine months was $1.330 billion, compared with $993.3 million. The comparison includes the effect of $233.5 million of antitrust-settlement payments made in 2025. At September 30, cash was $2.036 billion and investments $820 million, a combined $2.856 billion. The carrying amount of total debt was $5.569 billion.

In the third quarter, Jazz issued $1.25 billion principal of 1.875% exchangeable notes due in 2032 and used existing cash to repurchase $225 million of shares. The October authorization for another $500 million of repurchases is distinct from purchases already completed.

The $1 billion principal of 2030 notes became exchangeable at holders' option during the fourth quarter after a share-price condition was met. Their $986.3 million carrying amount was therefore classified as current at September 30. No holders had exchanged them as of the filing.

Future reports can test delivery of the raised sales range, cash generation after research investment and progress of the acquired program.
