| Measure | Q3 2025 | Q3 2026 |
|---|---|---|
| Revenue | $150.7 | $197.7 |
| Net income, GAAP | $92.1 | $63.8 |
| Diluted EPS, GAAP | $6.34 | $3.30 |
| Adjusted net income | $64.6 | $60.3 |
| Adjusted diluted EPS | $4.45 | $4.39 |
| Adjusted EBITDA | $58.6 | $81.5 |
| Non-GAAP gross margin | 69% | 70% |
Non-GAAP gross margin deducts credit provision, processing and network costs from revenue. Adjusted EBITDA removes interest, funding costs, tax, depreciation, amortization, stock compensation and specified legal, financing and fair-value items. Adjusted net income retains funding costs but excludes stock compensation and certain other items.
Prior-year reported profit included a $27.4 million deferred-tax valuation-allowance benefit. Current diluted EPS removes a $17.9 million warrant fair-value gain from its numerator. Adjusted EPS uses a share count reflecting expected capped-call protection on the convertible notes.
Quarterly stock-based compensation rose to $22.0 million from $7.2 million. Advertising and activation spending rose to $28.0 million from $18.9 million as the company acquired more members.
| Measure | August 5 | November 4 |
|---|---|---|
| Revenue | $725 to $735 | $746 to $750 |
| Adjusted EBITDA | $315 to $325 | $327 to $330 |
| Adjusted diluted EPS | $17.00 to $17.50 | $17.45 to $17.65 |
In August, management expected second-half non-GAAP gross margin to expand into the mid-70s. Actual Q3 margin was 70%, versus 72% in Q2. The latest Q4 outlook calls for a margin above Q2's level and a 28-day past-due rate below 2%. The second-half period is still underway.
The Q3 past-due rate was 2.09%, compared with 2.12% in Q2 and 2.15% a year earlier. ExtraCash originations grew 23% to $2.5 billion. Provision expense also reflects growth, loan mix and expected losses, so the improved past-due rate and a higher provision are compatible.
Coastal began holding newly originated ExtraCash balances under the amended arrangement in June. At September 30, it held $158.8 million of principal for which Dave bears the economic credit risk. The combined gross receivable book, including bank-held loans, was $408.7 million. Dave's balance-sheet member receivables, after its allowance and including fee receivables, were $204.6 million.
Dave must purchase balances unpaid after 60 days and maintain collateral for expected credit losses. Its bank-partner deposit was $20.8 million at September 30. The company also recorded a separate $6.4 million expected-credit-loss liability and a $6.1 million stand-ready guarantee liability for bank-held loans.
The November 3 amendment allows Coastal to hold up to $325 million of ExtraCash and $25 million of card receivables. Dave pays a variable funding charge. About $2.6 million of Q3 bank-capacity fees was recorded in network and transaction costs; adjusted EBITDA excludes that cost, while adjusted net income retains it.
Operating cash flow for the first nine months was $231.8 million, versus $196.7 million a year earlier. Net originations and collections added $25.2 million in investing cash, versus a $145.6 million outflow in the prior period, as more receivables were funded by Coastal. Software spending was $6.1 million and physical capital spending was $0.2 million.
At September 30, cash and equivalents were $269.9 million, investments were $43.3 million and restricted cash was $1.8 million. The commonly quoted $315.1 million total combines all three. The $20.8 million bank-partner deposit is a separate asset.
On October 8, Dave repaid the $75 million Victory Park facility with cash and terminated it. The March-issued convertible notes remain: $200 million principal, with a September carrying value of $193.5 million, maturing in April 2031. They carry no regular coupon; principal is payable in cash upon conversion, with any excess conversion value settled in cash or shares.
Nine-month program repurchases used $211.9 million, separate from $22.5 million of employee tax-withholding settlements. Only about $6 million of program purchases occurred in Q3. Remaining repurchase authority was $88.1 million at September 30.
Dave faces the continuing federal case over ExtraCash marketing and consumer-protection practices, other consumer litigation and state inquiries. A Pennsylvania complaint was filed in September. Its roughly $10 million legal accrual covers losses considered probable and estimable; the ultimate outcomes remain unresolved.
Dave Flex, a pay-in-four card product, is being expanded toward a broader 2027 rollout.
