Amneal develops and sells generic, specialty and biosimilar medicines and consolidates distributor AvKARE. Its raised adjusted earnings outlook accompanies a lower operating-cash forecast as working capital absorbs funds. The completed Kashiv acquisition expanded the business, share count and borrowings.
Amneal Pharmaceuticals, Inc. (Nasdaq: AMRX) develops, manufactures and sells generic, specialty and biosimilar medicines. Its Affordable Medicines business includes complex generics and biosimilars. Specialty sells branded medicines in areas including neurology and endocrinology. AvKARE distributes pharmaceuticals and medical products to government and other customers.
The company reports all of controlled distributor AvKARE in consolidated sales, cash flow and adjusted EBITDA. Per-share earnings deduct profit attributable to minority owners.
| Measure | 2026 | 2025 |
|---|---|---|
| Revenue | $862.7 | $784.5 |
| GAAP operating income | $95.4 | $70.3 |
| Consolidated GAAP net income | $12.3 | $18.1 |
| Net income attributable to Amneal after accretion | −$21.7 | $2.4 |
| GAAP diluted EPS | −$0.06 | $0.01 |
| Adjusted EBITDA | $207.0 | $159.6 |
| Adjusted diluted EPS | $0.26 | $0.17 |
The parent loss differs from consolidated net income because $19.8 million of profit was attributable to noncontrolling interests and $14.2 million was deducted for accretion of redeemable noncontrolling interests. The latter adjusts the accounting value of that minority interest. The quarter also had tax expense of $2.8 million, against a $23.4 million tax benefit a year earlier.
Adjusted EBITDA removes interest, taxes, depreciation, amortization and selected expenses or gains, including acquisition costs, stock compensation, impairments, legal items and changes in contingent consideration. Adjusted EPS uses its own tax adjustments and diluted share count.
Affordable Medicines revenue grew 19% and Specialty grew 20%. AvKARE fell 17% against a nonrecurring product launch in the comparison quarter. Kashiv's acquisition changed the ownership scope; these are reported growth rates.
November's 2026 forecast calls for $3.15 billion–$3.25 billion of revenue, $800 million–$815 million of adjusted EBITDA and $1.04–$1.08 of adjusted diluted EPS. July's ranges were $3.10 billion–$3.20 billion, $750 million–$780 million and $0.96–$1.06.
The operating cash forecast moved down to $325 million–$375 million from $350 million–$400 million. Capital spending and deposits remain approximately $150 million. Acquisition payments and purchases of intangible assets sit outside that plant-and-equipment forecast.
Nine-month operating cash was $50.3 million versus $209.7 million. Inventory changes used $158.3 million versus $66.8 million. Comparing the July and November statements gives third-quarter operating cash of $98.3 million versus $118.5 million a year earlier.
Amneal completed its purchase of Kashiv BioSciences on August 10, following an April agreement. The contract called for $375 million of base cash consideration, subject to adjustments, and approximately 28.94 million new Amneal shares. The cash-flow statement records $421 million paid, net of acquired cash.
Sellers can also receive up to $350 million for specified regulatory milestones and, over 12 years, royalties equal to 25% of certain product gross profit above contractual thresholds. Those contingent terms are separate from cash already paid. Some sellers were affiliated with the Amneal Group of existing shareholders.
Amneal raised a $350 million incremental term loan for part of the purchase. Its October transaction filing also describes available cash and part of additional revolving borrowings as funding sources. These financing arrangements were disclosed before the November results.
At September 30, unrestricted cash was $157.4 million. Gross principal debt was $3.231 billion, and the company's net debt measure was $3.073 billion, compared with $2.657 billion at June 30, before Kashiv closed. Net debt subtracts unrestricted cash from principal debt before financing costs and excludes finance leases.
The next tests are delivering the higher earnings forecast, converting sales into operating cash and integrating the expanded biosimilar business while managing borrowing and contingent payments.
