For fiscal 2026, operating cash flow was $533 million and capital spending was $311 million, leaving company-defined free cash flow of $222 million. That measure is before $92 million of dividends paid to minority owners of subsidiaries. Share repurchases used $100 million.
Cash and cash equivalents were $886 million at September 30, compared with $958 million a year earlier. Total debt was $2.352 billion and net debt was $1.466 billion. It also had $857 million available on its asset-based revolving credit facility, subject to the facility’s borrowing-base terms.
During the fourth quarter, Adient refinanced its 7% senior secured notes by adding $500 million to its existing Term Loan B. It also paid down $35 million of its 8.25% notes. The financing extended debt maturities.
Fiscal 2027 guidance calls for sales of approximately $14.8 billion to $15.0 billion and adjusted EBITDA of $900 million to $925 million. Fiscal 2026 adjusted EBITDA was $884 million, close to the approximately $885 million forecast in August.
The roughly $100 million-plus free cash flow forecast reflects cash brought forward into fiscal 2026 and unfavorable dividend timing. Fiscal 2026 free cash flow exceeded the approximately $130 million August forecast, but the timing benefit reduces the cash expected in the following year.
On November 4, the board added $400 million to its buyback authorization, leaving $435 million available. Adient plans $100 million of repurchases in fiscal 2027, with timing dependent on market conditions and valuations. It also adopted a tax-benefits preservation plan with a 4.95% ownership threshold. Adient says its U.S. tax attributes may offset about $3.5 billion of future taxable income.
The plan discourages share acquisitions that cross the threshold. Investors who reach it solely because Adient buys back stock are exempt, but that exception can end with additional acquisitions that leave them at or above 4.95%. Existing large holders also have protections for their current stake. Share dividends, splits and reclassifications are excluded from these additional-acquisition triggers, and the board can grant exemptions.
The scheduled expiry is November 4, 2027, or November 4, 2029 if shareholders approve the plan. Read our analysis of the buyback authorization and ownership threshold for the agreement's practical effect.
