CLEAR beats its sales forecast. Why was cash flow negative?
Revenue and bookings exceeded the August targets, and the company expanded its buyback. A previously flagged partnership payment explains the quarter's cash outflow.

CLEAR beat the quarterly sales and bookings forecasts it gave in August, expanded its share-buyback program and raised its annual cash-flow target. Yet the identity-verification company's latest quarter showed a substantial cash outflow.
A large payment the company had already flagged explains the cash outflow. Third-quarter revenue rose about 28% to $292.9 million, above the $284 million to $287 million forecast. Bookings reached $323.5 million against the original $311 million to $316 million range.
Research by Ticker Byline shows that revenue exceeded the midpoint of the August forecast by $7.35 million and bookings by $10 million. Bookings include revenue plus the change in deferred revenue. They also capture subscription sales and accrued partner billings for service still to come.
Better earnings, but a known payment
Operating income increased to $82.9 million from $52.6 million. Active CLEAR+ memberships rose 14.5%, and higher subscription prices also helped revenue. Bookings growth nevertheless slowed to 24.4% from the second quarter's 32.8%. The fourth-quarter forecast points to a further slowdown to 17.6% at the midpoint.
Operating cash flow was negative $98.6 million, while free cash flow after equipment purchases was negative $103.8 million. CLEAR said both included the settlement of approximately $315 million of accrued partnership liabilities.
At the end of June, CLEAR had already recorded $315.4 million of partnership liabilities and said they primarily concerned merchant credit-card benefits it expected to fund in the second half. The payment was already part of the financial picture before these results.
| Measure | 2026 | 2025 |
|---|---|---|
| Revenue | $292.9 | $229.2 |
| Operating income | $82.9 | $52.6 |
| Operating cash flow | -$98.6 | -$47.3 |
| Free cash flow | -$103.8 | -$53.5 |
A higher cash floor and more buyback capacity
CLEAR now expects at least $490 million of full-year free cash flow, up from at least $480 million in August. By our calculation, meeting that floor after $270.6 million generated over nine months would require at least $219.4 million in the fourth quarter.
The board added $175 million to its repurchase authorization, leaving about $254.4 million available. This follows $170.9 million of share repurchases in the third quarter. CLEAR returned about $191.4 million including dividends and distributions during that period.
At September 30, the company held $35.4 million of cash and cash equivalents and $597.6 million of marketable securities, with no outstanding debt. Its CLEAR company profile tracks the remaining partnership obligations, tax-sharing commitments and the annual cash target alongside its subscription business.
