Block raised its profit outlook. How does the proposed DOJ deal fit?

A quarterly profit beat accounts for nearly all the increase in the annual target. The filing also quantifies a proposed Justice Department resolution.

Block raised its annual adjusted operating-profit forecast after beating its quarterly target. Its latest filing also discloses an October agreement in principle with the Justice Department, with an expected net payment of approximately $764 million.

The Cash App and Square operator had accrued that amount as of September 30. The proposed resolution still requires a final agreement and court approval.

The upgrade is largely covered by the quarter

Research by Ticker Byline shows that the third-quarter adjusted operating-profit beat matches about 97% of the increase in Block's full-year target. Our comparison uses the original August forecasts and the November results.

The business is growing strongly. Gross profit, revenue remaining after direct costs, increased 22% to $3.235 billion. Cash App's gross profit rose 27% and Square's rose 14%.

Two profit measures tell different stories

GAAP operating income increased 5% to $428.5 million. Adjusted operating income increased 92% to $922.7 million.

The adjusted measure removes $435.0 million of contingencies, restructuring and other charges, versus $20.8 million a year earlier, as well as intangible amortization and selected other items. That mixed category includes legal costs. Ordinary stock compensation and depreciation remain in adjusted operating profit.

The DOJ accrual rose to $764 million from $526 million in June, an increase of $238 million. Aggregate accrued legal contingencies across matters were $980.6 million. The DOJ balance is separate from the mixed quarterly profit adjustment above.

Under the proposed three-year deferred prosecution agreement, the DOJ would defer a charge alleging that Block failed to maintain an effective anti-money laundering program. The expected gross monetary component is approximately $964 million; credits for prior regulatory resolutions reduce the expected net payment to $764 million.

The next target rises too

For 2027, Block's updated preliminary outlook calls for at least 15% gross-profit growth and $4.575 billion of adjusted operating income, about 30% above its new 2026 target.

Cash generation also depends on the lending and payments balance sheet. Block's broader non-GAAP cash-flow measure was $668 million in Q3, versus $239 million, after adjustments for settlement timing, lending and warehouse financing.
