Analysis UGI

Why UGI's new 2030 credit deal still turns on its 2028 notes

The energy distributor expanded its main credit line by $225 million. Our document comparison finds another change in the amount of debt that can bring the maturity forward.

UGI has extended its main bank borrowing arrangements to March 31, 2030, and increased its main revolving credit line to $700 million from $475 million. A debt test tied to its 2028 convertible notes can still bring the deadline forward.

The October 28 amendment also creates a separate $300 million secured facility to cover any cash due when those notes convert. That facility starts with a much shorter life.

The checkpoint inside the longer deal

If more than $210 million of the 2028 notes remains outstanding 91 days before their final maturity, the main revolver and term loan become due at that earlier checkpoint.

Research by Ticker Byline shows that the main revolver's threshold increased by $85 million. The signed amendment raises it from $125 million to $210 million, allowing more notes to remain outstanding without crossing that threshold. The checkpoint also moves from 90 to 91 days before the notes mature.

The changes give UGI a larger main credit line and a later scheduled maturity, while keeping the convertible-note deadline part of its funding plan.

The separate cash backstop has its own timetable

The new $300 million facility matures on June 30, 2027. UGI can extend that to June 30, 2028, by converting the entire outstanding balance into a term loan, which cannot be borrowed again after repayment.

That option requires advance notice, no continuing default and a fee of 1.25% of the converted balance. If the full $300 million were drawn and converted, the fee would be $3.75 million.

The agreement also directs net proceeds from specified parent-company capital-market borrowings and share issues toward repayment of this facility. Before the term-loan conversion, those repayments permanently reduce the available commitment by the same amount.

How the pieces fit together

UGI distributes natural gas, propane and other energy products. The new arrangements address two funding needs: a larger main credit line and cash that could become due on conversion of the notes.

The separate facility is secured by pledged shares in material subsidiaries, with exclusions including UGI Utilities and Mountaintop Energy Holdings. Its commitments end once the remaining 2028 notes fall below $210 million, while loans already drawn keep their applicable maturity.

The UGI company profile sets out the changed terms alongside the earlier financing and the financial results reported through June.
