H2O America completed a $373.75 million financing on November 3 after underwriters exercised their full option to buy additional units. The water utility gets funding now, while each unit also commits its holder to buy common shares in 2029.

The completed sale was 15% larger than the $325 million base offering priced on October 29. The pricing documents already described the possible expansion. Tuesday's filing confirms that all 7.475 million units were issued.

Funding today, shares later

Each $50 unit combines a $50 interest in notes due in 2031 with a separate stock-purchase contract. Under normal settlement, the holder pays $50 for common shares on November 1, 2029. The number of shares depends on the stock's price near settlement.

Research by Ticker Byline shows that the completed financing corresponds to about 5.43 million to 6.38 million future common shares under the normal settlement formula, before contractual adjustments. Those shares are not issued with the units today.

At the initial terms, the larger deal also implies about $29 million of annualized distributions, roughly $3.8 million more than the base offering. About $19.8 million is note interest and $9.2 million is stock-contract adjustment payments. The total is not all interest expense. The notes are normally resold to fund the stock purchase, with the interest rate reset at that point. Contract payments can be deferred under the agreement.

A capital plan already in motion

The new money adds flexibility to a business that needs substantial outside funding. H2O America intends to use proceeds for general corporate purposes, potentially including acquisitions, investment and debt repayment. It also described the units as meeting part of future equity needs for refinancing some debt maturing in 2029.

Its October 26 outlook already included approximately $465 million of company-funded infrastructure investment this year and $2.7 billion over 2026–30. The latest financing does not announce a larger spending plan.

Quadvest, the Texas water business acquired for $542.7 million on October 1, was already funded through an earlier common-stock offering and settlement of part of a forward stock-sale agreement.

Nine-month operating cash rose slightly to $184.7 million. Actual common shares had already increased sharply before this unit sale. Quarterly adjusted net income was nearly flat, while adjusted EPS fell to $1.04 from $1.27.

The H2O America company profile follows that funding history, the acquisition forecast and the future share commitment.
